The following Terms and Conditions of Use ("Terms") are entered into by and between you ("You" or "User") and Meridian HQ, LLC ("Company," "we," or "us"). These Terms govern your use of themeridianhq.com, app.themeridianhq.com, and all associated subdomains — including the Meridian Market (the Meridian's creator marketplace), Prime OS (the Meridian's creator operating platform), and the Meridian Collective (the Meridian's member community) — together, the "Website." By accessing or using the Website, you agree to be bound by these Terms.

Your use of the Website is subject to our Privacy Policy. Your agreement to our Privacy Policy is incorporated into these Terms.

3. No Use by Minors

The Website is intended for users who are 18 years of age or older. By accessing the Website, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. Use by individuals under 18 is strictly prohibited.

4. Lawful Purposes & Acceptable Use

You may use the Website for lawful purposes only. You agree to be financially responsible for all purchases made by you or on your behalf. You shall not post, transmit, or distribute any material that violates or infringes the rights of others, that is threatening, abusive, defamatory, libelous, obscene, or otherwise objectionable, or that encourages criminal or tortious conduct. You shall not scrape, reverse-engineer, or interfere with the operation or security of the Website, misrepresent your identity, or use another person’s account without permission.

5. The Meridian Market — How the Marketplace Works

The Meridian Market is a platform that connects independent travel creators with travelers. Creators publish and sell their own travel guides, itineraries, and trip proposals through the Market. Every creator on the Market is an independent business owner — not an employee, agent, partner, or representative of Meridian HQ, LLC. The content a creator publishes or delivers is that creator’s own work, and the relationship formed when you purchase from or work with a creator is between you and that creator. Meridian HQ, LLC is a software platform and marketplace. We are not a travel agency, tour operator, or seller of travel, and we do not ourselves provide, arrange, or book any travel services. Some creators also participate in the Archer Evolution Travel program, an independent network-marketing travel company, and may earn commissions through it or refer others to it using their own personal links. The Meridian is a separate, independent platform — it is not Archer Evolution Travel, and it is not a party to any Archer membership, commission, or referral relationship. Those relationships are governed by our Disclaimer and by Archer’s own terms. Nothing on the Website is an income claim or a guarantee of any earnings or result.

6. Purchases & Payments

Payments on the Market are processed by Stripe, and your payment is subject to Stripe’s own terms of service. Every sale pays out 100% to the creator — Meridian takes no cut, no commission, and no fee from your purchase; the platform earns from creator subscriptions, never from sales. Because your payment goes to the creator, refund and revision requests are handled by the creator you purchased from, under the terms they present at the point of sale. We encourage creators to resolve disputes generously, and you may contact us at legal@themeridianhq.com if a dispute cannot be resolved, but Meridian HQ, LLC is not a party to the transaction and does not hold or escrow your funds.

7. Third-Party Travel Suppliers — No Liability

Guides, itineraries, and proposals sold on the Market may reference or recommend third-party travel suppliers — airlines, hotels, tour operators, restaurants, transportation providers, and other vendors. Any booking or purchase you make with such a supplier is a contract between you and that supplier (or between you and the creator, where the creator arranges it as an independent travel advisor). Meridian HQ, LLC is not responsible for the acts, omissions, availability, pricing, safety, or quality of any third-party travel supplier, nor for cancellations, delays, injuries, losses, or damages arising out of travel you undertake. You are solely responsible for verifying passport, visa, health, and entry requirements for your travel.

8. Your Account

Certain features require an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly at legal@themeridianhq.com of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

9. Meridian Collective — Community Standards

The Meridian Collective is a standards-driven community. By joining, you agree to uphold the community culture and standards described at onboarding and as updated from time to time. Meridian HQ, LLC reserves the right, in its sole discretion, to remove any member for conduct that violates these Terms or community standards — without refund and without prior notice.

10. Use of Free Downloadable Content

We may make resources accessible in exchange for your email address or registration ("Gated Content"). Meridian HQ, LLC grants you a limited, personal, non-exclusive, non-transferable license to use Gated Content for your own personal or internal business use only. You have no right to modify, copy, reproduce, create derivative works from, or exploit any Gated Content without written consent.

11. Material You Submit to the Website

By posting, uploading, or otherwise making available any content — including photos, written works, testimonials, reviews, trip memories, feedback, or community posts (collectively, "Submissions") — you grant Meridian HQ, LLC a worldwide, non-exclusive, irrevocable, royalty-free license to use, copy, distribute, publicly display, reproduce, and reformat your Submission for promotional and business development purposes. You retain copyright and intellectual property rights in your Submissions. By making a Submission, you represent and warrant that you own or control all rights in it. Creators retain ownership of the guides, itineraries, and proposals they publish; by publishing on the Market, a creator grants Meridian HQ, LLC the license needed to host, display, deliver, and promote that content on the platform.

12. Our Intellectual Property

The Website contains intellectual property owned exclusively by Meridian HQ, LLC, including trademarks, service marks, copyrights, trade secrets, and proprietary systems (collectively, "IP"). This includes — without limitation — all text, graphics, video, audio, design elements, software, course content, training materials, guide and itinerary formats, community frameworks, The Meridian’s proprietary identity and assessment frameworks, Prime OS architecture and embedded workflows, the Signal content engine, Meridian Studio (the Meridian’s creator design tool), and all associated proprietary methodologies and naming systems. You may not copy, scrape, frame, mirror, or reverse-engineer the Website or any part of it, and you may not use the Meridian’s content, structure, formats, or materials to create a derivative work or to build a competing platform, product, or service. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Website for your personal or internal business use strictly in accordance with these Terms — no other license or right is granted, whether by implication or otherwise. Any violation of this IP policy will result in immediate revocation of your access, without refund.

13. Copyright Complaints (DMCA)

We respect the intellectual property of others and expect the same from our users and creators. If you believe content on the Website infringes your copyright, please send a notice to our designated copyright contact at legal@themeridianhq.com with: (a) identification of the copyrighted work you claim is infringed; (b) the URL or location of the material you claim is infringing; (c) your name, email address, and contact information; (d) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; (e) a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf; and (f) your physical or electronic signature. On receipt of a valid notice, we will review it and, where appropriate, remove or disable access to the identified material and notify the user or creator who posted it, who may respond with a counter-notice. We may terminate the accounts of repeat infringers.

14. Prime OS — Membership Terms

Your subscription to Prime OS grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Prime OS platform solely for your personal or internal business use during your active subscription term. Your subscription does not transfer any intellectual property rights to you. Meridian HQ, LLC reserves the right to update, modify, or remove Prime OS features at any time. Meridian HQ, LLC may suspend or terminate your access, without refund, for any violation of these Terms, non-payment, or conduct deemed harmful to the platform or community.

15. Changed Terms

Meridian HQ, LLC may amend these Terms at any time. The "Last Updated" date reflects the most recent revision. Changes take effect immediately upon posting. Continued use of the Website constitutes acceptance of the revised Terms.

16. No Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MERIDIAN HQ, LLC PROVIDES THE WEBSITE, THE MARKET, PRIME OS, THE MERIDIAN COLLECTIVE, AND ALL ASSOCIATED CONTENT AND SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND — EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MERIDIAN HQ, LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE WEBSITE, THE MARKET, PRIME OS, THE MERIDIAN COLLECTIVE, OR ANY TRAVEL UNDERTAKEN IN CONNECTION WITH CONTENT PURCHASED THROUGH THE MARKET. IN NO EVENT SHALL MERIDIAN HQ, LLC’S TOTAL LIABILITY TO YOU EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO MERIDIAN HQ, LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

18. No Guarantee of Availability

Meridian HQ, LLC reserves the right to withdraw, modify, or discontinue the Website, the Market, Prime OS, or any feature at any time without notice. We do not warrant uninterrupted, error-free service.

19. Security

We implement commercially reasonable measures to protect your information. However, no internet transmission or storage system is 100% secure. All information you transmit to the Website is transmitted at your own risk.

20. Third-Party Resources

The Website may contain links to third-party websites and tools not operated by Meridian HQ, LLC. We are not responsible for their availability, accuracy, or practices. Links do not constitute endorsements.

21. Indemnification

You agree to indemnify, defend, and hold harmless Meridian HQ, LLC and its members, officers, employees, agents, and affiliates from all claims, losses, damages, liabilities, costs, and expenses — including reasonable attorneys' fees — arising out of: (a) your breach of these Terms; (b) your use of the Website; (c) your Submissions; (d) your violation of any law or third-party rights; or (e) your failure to maintain account security.

22. Alternative Dispute Resolution

The parties agree to attempt in good faith to resolve any dispute through mediation before pursuing litigation or arbitration, except where immediate injunctive relief is necessary to protect the intellectual property or proprietary rights of Meridian HQ, LLC.

23. Governing Law; Jurisdiction

These Terms shall be governed by the laws of the State of Minnesota, without regard to conflict of laws principles. Any dispute shall be resolved exclusively in the state or federal courts located in the State of Minnesota.

24. Severability; Entire Agreement; Waiver

If any provision of these Terms is held unenforceable, it shall be modified as narrowly as necessary and the remaining provisions shall remain in full effect. These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and Meridian HQ, LLC regarding the Website.
